Terms of service

Who this agreement is between

These terms are the agreement between CONSENKO STUDIOS PRIVATE LIMITED, registered at 2nd Floor, B-30, Block B, Sector 4, Noida, Uttar Pradesh 201301 ("we", "us"), and the business that opens a workspace ("you", "your business"). The individual who signs up confirms they are authorised to accept these terms for that business.

Two other documents are part of this agreement: the Data processing agreement, which governs the data your business puts into the service, and the Acceptable use policy, which governs what may be done with it. Where they conflict with these terms on their own subject, they win.

What you get

A subscription to the apps on the plan your business chooses, for the users your business creates, for as long as the subscription is paid for and in good standing. We may improve, change or retire individual features; we will not remove an app your plan is built around without reasonable notice.

Trials, where offered, run for the period stated at signup and convert to a paid subscription only if your business chooses to continue.

Your account and your users

Your business decides who gets access and at what level, and is responsible for what those people do. Keep credentials private, use the access controls the product provides, and tell us promptly at hello@consenko.com if you think an account has been compromised.

We may suspend an individual account immediately where it is being used to attack the service or break the Acceptable use policy. We will tell your administrator why.

Your data stays yours

Your business owns the data it puts into the service, and nothing here transfers ownership. We hold a limited licence to process it for one reason only: to provide, secure and support the service your business bought, on your business's instructions. The Data processing agreement sets the boundaries.

We do not sell your data. We do not use one customer's data to serve another. Where we use aggregate statistics to improve the product, they are aggregated and de-identified so that no individual and no customer business can be identified from them.

Fees

Paid subscriptions are not yet offered. Access is currently provided on a free or pilot basis, and nothing is charged.

When paid subscriptions are introduced, the fees, currency, billing cycle, payment window, taxes and the consequences of late payment will be those set out on the plan your business chooses and in the Refund and cancellation policy at that time, and we will give notice before any charging begins.

Cancellation and refunds are covered by the Refund and cancellation policy.

Availability and support

We aim to keep the service available and to warn you before planned maintenance. Occasional downtime happens, and third-party services we depend on can fail.

We do not currently offer a formal uptime guarantee or a contractual service level. We use commercially reasonable efforts to keep the service available, to warn you before planned maintenance, and to restore service promptly when something breaks. Support is available by email at hello@consenko.com during business hours (Indian Standard Time), and we aim to respond promptly.

Third-party systems

The service can connect to systems your business already uses, such as an ERP, a messaging provider or a payment gateway. Those systems are operated by other people under their own terms. We are responsible for our end of the connection; we are not responsible for their availability, their accuracy, or what they do with data your business instructs us to send them.

Forecasts, insights and assistant output

Parts of the service produce estimates: demand forecasts, suggested purchase quantities, insights and drafted replies. They are decision support, not decisions. Your business is responsible for reviewing output before acting on it, and we do not warrant that any forecast, suggestion or generated text is accurate, complete or suitable for a particular purpose.

Confidentiality

Each side will protect the other's non-public business information with at least the care it uses for its own, and use it only for this agreement. This does not cover information that is public, already known, independently developed, or required to be disclosed by law.

Warranties and liability

The limitations in this section are a commercial position, not legal advice, and CONSENKO STUDIOS PRIVATE LIMITED should have them reviewed by a lawyer before relying on them.

We provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided as it stands, without further warranty.

Neither side is liable for indirect or consequential loss, or for loss of profit, revenue or data, arising from this agreement. Each side's total liability is capped at the total fees paid by your business to us in the 12 months before the event giving rise to the claim (and, for as long as the service is provided free of charge, at ₹10,000). Your business will indemnify us against claims, losses and costs arising from personal data or other content it loads into the service without a lawful basis or the right to do so, or from its breach of the Acceptable use policy. Nothing here limits liability that cannot lawfully be limited.

Suspension and termination

Either side may end the subscription at the end of a billing period, as set out in the Refund and cancellation policy. We may suspend or terminate for non-payment after notice, or immediately for a serious breach of the Acceptable use policy or unlawful use.

After termination your business can export its data for 30 days, after which we delete it and instruct our processors to do the same. The window and the deletion timetable are in the Data processing agreement.

General

Neither side is liable for failure caused by events outside its reasonable control. Notices to us go to hello@consenko.com; notices to you go to your workspace administrator's email address. Your business may not assign this agreement without our consent, which we will not withhold unreasonably. If a clause is unenforceable, the rest survives.

Governing law

This agreement is governed by the laws of India. The courts at Gautam Budh Nagar (Noida), Uttar Pradesh have exclusive jurisdiction over any dispute arising out of or in connection with it, and both sides submit to that jurisdiction. Before starting proceedings, each side will try in good faith to resolve the dispute by discussion, beginning with a written notice to the other.

Changes to these terms

A published version is never edited in place. A change is a new version with its own effective date; the previous version stays on record. We announce material changes before they take effect, and continuing to use the service after that date means the new version applies.
